1. What Bagz is

Bagz is an independent software platform for creating, discovering and sharing thematic memecoin baskets ("Bags" or "Strategies") that trade on Robinhood Chain. A launched coin's trading fees buy its chosen basket of memecoins every few minutes, and holders can redeem their coin for a pro-rata slice of the accumulated basket ("the bag"). Bagz is not affiliated with, endorsed by, or sponsored by Robinhood Markets, Inc. or any of its subsidiaries.

Bagz is not a broker-dealer, investment adviser, or exchange. Nothing on this platform is investment advice, an offer to sell, or a solicitation to buy any asset.

2. Bags are user-generated content

Bags are created by users, not by Bagz. A bag's description, holdings and commentary reflect the views of its creator alone. Past performance — simulated or live — does not predict future results.

3. Memecoins

Bags hold memecoins: highly speculative digital tokens whose value derives from internet culture, attention and speculation rather than any business, cash flow, or underlying asset. Memecoins have no intrinsic value, are extremely volatile, and can lose all of their value permanently. Holding a bag coin, directly or through a vault, does not entitle you to any company's shares, revenue, dividends, or governance rights.

4. Demo and testnet modes

When the platform operates in demo or testnet mode, all figures are simulated and all testnet assets have no real-world value. Simulated performance is labeled as such and must not be relied upon.

5. Eligibility

Access to certain features may be restricted by jurisdiction. You are responsible for ensuring that your use of the platform is lawful where you live. The platform may require eligibility attestations and may integrate third-party compliance providers.

6. Fees

Bag creators may configure disclosed fees within platform caps. All applicable fees, including the bonding-curve trade fee that funds basket purchases, are displayed before you confirm any transaction.

7. No custody

Bagz never takes custody of your assets. Vault smart contracts hold accumulated basket tokens according to their published, audited code. You interact with them directly from your own wallet.

8. Prohibited conduct

You may not use the platform to manipulate markets, run pump-and-dump schemes, impersonate others, publish misleading performance claims, or violate applicable law.

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BAGZ DISCLAIMS ALL LIABILITY FOR LOSSES ARISING FROM USE OF THE PLATFORM, INCLUDING MEMECOIN VOLATILITY, SMART-CONTRACT RISK, ORACLE FAILURE, AND TOTAL LOSS OF FUNDS.
